BYLAWS OF SASSARINI ORGANIZATION OF PARENTS AND TEACHERS (OPT)

 

 

ARTICLE l

 

Section 1.01     Name   The name of the Non-Profit organization shall be Sassarini Organization of Parents and Teachers, (abbreviation: O.P.T.)

 

 

ARTICLE ll     

 

Section 2.01     Principal Office   The office of the organization for the transaction of business shall be located at Sassarini Elementary School at 652 Fifth St. West, Sonoma, CA 95476

 

Section 2.02     Change of Address  The executive board is hereby granted full power and authority to change the principal office of the organization to any other location in the city of Sonoma, California.

 

 

ARTICLE lll

 

Section 3.01     Purpose   Said Organization is organized exclusively for charitable and educational purposes, including the making of distributions to Sassarini Elementary School, Sonoma Valley Unified School District and other organizations under Section 501 (C) (3) of the Internal Revenue Code or Corresponding section of any future federal tax code.  It is the goal of said organization to enhance the opportunities of Sassarini Elementary School children and to support the educational goals of the school.

 

 

ARTICLE lV   

 

Section 4.01     Membership:  All parents, teachers and friends of Sassarini Elementary School pupils are eligible to become members by paying an annual fee. 

 

Section 4.02     Classification of Members:  The organization shall have one class of members only and each member shall have equal voting and other rights.  No person shall have more than one membership in the organization.

 

Section 4.03     Membership Dues:  The annual dues payable to the organization for members shall be in the amount determined by resolution of the Executive Board.

 

Section 4.04     Number of members  There shall be no limit on the number of members of the organization.

 

 

ARTICLE V

 

Section 5.01     Meetings:  Meetings of the Organization shall be held monthly from September to May, except as waived by the Executive Board.  The meetings shall be held at a time and location determined by the Executive Board.  Five percent (5%) or more of the members may call a special meeting for any special purpose.

 

Section 5.02     Quorum:  A quorum at any meeting of the members shall consist of members that are present at that meeting.

 

Section 5.03     Notice of meetings:  Written notice stating the place and date of all meeting shall be given.

 

Section 5.04     Conduct of meeting:  The President of the Organization or in his/her absence, the Vice President of the Organization, shall conduct and preside at meetings.  In the event that both President and Vice President are absent, any person chosen by majority of the members present may preside at the meeting.  Meetings shall be governed by Robert’s Rules of Order.

 

Section 5.05     Action Without Meeting:  Any action required or permitted to be taken by the Executive Board may be taken without a meeting, if all members of the Executive Board individually or collectively consent in writing to such action.  Such action by written consent shall have the same force and effect as the unanimous vote of the Executive Board.

 

Section 5.06     Board of Authority:  The Executive Board is authorized to make the necessary decisions to run the day to day activities of the Organization.  Any decision made by the Executive Board can be reviewed at any monthly OPT meeting.  The ultimate authority of the organization rests with the general membership.

 

 

 

Article Vl

 

Section 6.01     Executive Board:  The members of the executive Board shall be:  President, First Vice President (s), Second Vice President (s), Third Vice President (s), Secretary, Assistant Secretary, Treasurer, President Emeritus, Parliamentarian, Site Council representative, Script Chairperson and School Principal.

 

Section 6.02     President:  The President shall schedule and preside over all meetings, coordinate and oversee all projects and activities.  The President shall be Chief Executive and Administrative Officer of the Organization and take the necessary responsibilities to carry out that task.  The President shall act as Chairman of the annual chief fund-raiser.  The President shall appoint all committee chairs.

                       

First Vice President:  The Vice President (s) shall serve as an assistant to the President and take over that position if necessary.  The first Vice President shall serve as the Chairperson of the Fall Event.

 

                        Second Vice President:  The Second Vice President shall serve in the same capacity as the First Vice President.  The Second Vice President shall also serve as the Chairperson of the annual Teacher/Volunteer Tea; is the liaison between the faculty and the OPT.

 

                        Third Vice President:  The Third Vice President shall serve in the same capacity as the Second Vice President and shall be the procurer of our food events.

 

                        Secretary:  The Secretary shall record the minutes of the meetings and keep the records of the Organization.  The secretary shall also prepare agendas and keep the minutes of all regular OPT meeting.  The Secretary shall be in charge of contacting the membership whenever necessary.

 

                        Assistant Secretary:  The assistant Secretary shall aid the Secretary in the aforementioned responsibilities.  The Assistant Secretary shall also serve as the chairperson of the calendar committee.

 

                        Treasurer:  The Treasurer shall make deposits and withdrawals, write checks, collect money, keep and report all financial matters relating to the group.  The Treasurer shall also serve as the Chairman of the Finance Committee.

 

                        Parliamentarian: The Parliamentarian will assure that the group follows proper parliamentarian procedures at all times.  In questions of conflict the group shall use Robert’s Rules of Order.

 

                        President Emeritus:  The President Emeritus shall serve as the group’s publicity chair and historian.

 

                        School Principal:  The School Principal shall represent the interests of the management of the School.

 

                        Scrip Chairperson:  The Scrip Chairperson shall be responsible for all financial matters relating to Scrip sales and shall serve as Chairperson of the Scrip Committee.

 

Section 6.03     Executive Board Changes:  The membership may change the members of the Executive Board by a majority vote at any meeting.

 

Section 6.04     Elections A) The Nominating Committee shall consist of at least three members and shall be chosen by the Executive Board prior to or at the February meeting.  This committee shall nominate a slate of officers prior to or at the March meeting.  Persons other than the Nominating Committee may also nominate officers at the March meeting.  Serving on the Nominating Committee does not make a person ineligible for office.

 

                        B) Elections are to be held during the April meeting after the membership

has been notified by school newsletter.  If there are no competitors, elections shall be by show of hands.  If there are competitors, elections shall be by written ballot.

 

C)    Following their elections, the new officers are to be installed by the Nominating Committee at the May meeting.  Officers shall serve from July 1-June 30.

 

Section 6.05     Compensation  The Executive Board members shall serve without compensation.

 

 

Article Vll

 

Section 7.01     Monies  A bank account shall be established at a local bank.  Two signatures shall be required for withdrawal or checks.  All expenditures shall be approved by the general membership.  All monies from fundraising activities shall be counted, recorded and signed by two persons.  All expenses are to be receipted.  The Treasurer’s records shall be audited annually by two officers appointed by the President, who are other than the authorized signatures for checks.  This audit is to take place prior to the May meeting.

 

Section 7.02     Records  Accumulated records shall be stored in the school office or at a location determined by the Executive Board.

 

Section 7.03     Distribution  Distribution of the Organization’s assets shall be authorized by a majority vote of the membership.

 

Section 7.04     Activities  The Organization of Parents and Teachers of Sassarini School shall remain, as a group, uncommitted to any political cause or person.  In this regard we as a group will not assist in, donate money to or participate in any activities that can be viewed as political in nature unless said activity is a ballot measure designed to raise funds for school facilities and programs.  Such action would require a majority vote of the Executive Board.

 

                        Members of the group are free to participate in any political issue or person on an individual basis.

 

Section 7.05     Bylaws  The bylaws of the Organization of Parents and Teachers may be amended or changed by a two-thirds (2/3) vote of the Executive Committee or General Membership, at any regular or special meeting, provided a proposed change or amendments has been presented at the previous meeting.

 

Section 7.06     Finance Committee  A Finance Committee will be appointed by the Executive Board and Chaired by the Treasurer of the Organization.  The Finance Committee will meet in May to establish the annual OPT Budget.  The first draft of the budget will be presented at the June meeting with a final review at the September meeting.

 

                        The budget must be:

a)      balanced

b)      allocate no more than 5% of its reserves for administration of the group;

c)      contain an annual scholarship allocation

 

 

ARTICLE Vll

 

Section 8.01     Dissolution:  Upon dissolution of the organization, assets shall be distributed for one or more exempt purpose within the meaning of Section 501(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

 

Section 8.02     Indemnification  The Organization shall indemnify all persons who have served or who may serve at any time as officers or directors of the Organization and their heirs, executors, administrators, successor and assigns, from and against any and any loss and expense, including amounts paid in settlement before or after suit is commenced, and reasonable attorney’s fees, actually and necessarily incurred as a result of any claim, demand, action, proceeding, or judgment that may be asserted against any such persons, or in which any such persons are made parties by reason of their being or having officers or directors of the organization.  However, this right of indemnification shall not exist in relation o matters as to which it is adjudged in any action, suit or proceeding than such persons are liable for negligence or misconduct in the performance of their duties.
